5. Service Availability and Support

5.1 Uptime: We strive to maintain 99.9% uptime for our Services, but we do not guarantee uninterrupted access.

5.2 Maintenance: We may perform scheduled maintenance with advance notice and emergency maintenance as needed.

5.3 Support: Support services are provided according to your service level agreement (SLA).

6. Fees and Payment

6.1 Pricing: Fees for Services are specified in your order form or subscription agreement.

6.2 Payment Terms: Unless otherwise agreed, fees are due within 30 days of invoice date.

6.3 Late Payments: Late payments may be subject to interest charges and service suspension.

6.4 Refunds: Fees are non-refundable except as required by law or explicitly stated in your agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the relationship and to use such information only for purposes related to the Services.

8. Warranties and Disclaimers

8.1 Limited Warranty: We warrant that the Services will perform substantially in accordance with the documentation.

8.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUMQUAN CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Tumquan Corp from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Term and Termination

11.1 Term: These Terms remain in effect while you use the Services.

11.2 Termination: Either party may terminate with written notice according to the agreement terms.

11.3 Effect of Termination: Upon termination, your right to use the Services will cease, and you must delete any downloaded materials.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms are governed by the laws of the jurisdiction where Tumquan Corp is incorporated, without regard to conflict of law principles.

12.2 Dispute Resolution: Any disputes will be resolved through binding arbitration in accordance with commercial arbitration rules.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. General Provisions

14.1 Entire Agreement: These Terms constitute the entire agreement between you and Tumquan Corp regarding the Services.

14.2 Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.

14.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver.
